The present Terms of Service ("Terms") apply to and govern your access to and use of any or all of the following resources: the Cryptonica website https://cryptonica.io ("Site", "Platform"), Cryptonica offices, Cryptonica cryptocurrency ATMs ("Cryptocurrency Transaction Machine", "BTM", "ATM" , "Crypto Atm" or "kiosk"), and all other goods or services (collectively referred to as "Services", "Products", "Project") described herein or otherwise offered or provided by CRYPTONICA ATM SOLUTIONS LIMITED INC or its subsidiaries, divisions, and affiliates ("Cryptonica", "Cryptonica ATM Solutions Limited", "Cryptonica Asia", "Cryptonica US", "we", "the company", "our", or "us", "Cryptonica Exchange Liquid Pool").

Cryptonica offers you Services, including all information, tools, services, and products available through the Services, conditional upon your acceptance of all terms, conditions, policies, and notices stated here or incorporated by reference. Please read these Terms carefully before using our Services or conducting any transactions. By making any transaction, as well as by visiting or otherwise using our Services, you acknowledge, accept, and agree to abide by these Terms. You also acknowledge, accept, and agree with our Privacy Policy, which is incorporated herein by reference. Protecting your privacy is very important to Cryptonica. Accordingly, please review our Privacy Policy to better understand our commitment to safeguarding your privacy, as well as the use and disclosure of your information. If you do not agree with these Terms or our Privacy Policy, access to the Services is strictly prohibited, and you must immediately exit.

By using our Services, you confirm that you have reached the age of majority as defined by the laws in your jurisdiction. Access to the Services is permitted only to users who are eighteen (18) years old or older. IF YOU ARE UNDER EIGHTEEN YEARS OLD, YOU ARE NOT PERMITTED TO USE OUR SERVICES.

Cryptonica is not liable to you or any third parties for any changes, restrictions, or termination of access to the Services.
Legal Obligations:
2.1 These Terms govern the use of the Services and establish legal obligations and rights. They include provisions that limit Cryptonica's liability and require you to resolve disputes through arbitration. By continuing to use the Services, you agree to these Terms. If you do not wish to comply with these Terms or any future changes to them, you must cease using the Services.
Language of Agreement:
3.1 This Agreement is written in English. We do not guarantee the accuracy of translations of this Agreement into other languages. In the event of any discrepancies between the translated versions and the English version, the English version shall prevail.
Identity Verification:
4.1 By using our Services, you acknowledge and agree that IT MAY BE NECESSARY TO VERIFY YOUR IDENTITY. To access the Services, you agree to provide the requested personal information, including but not limited to: your name, email address, country of residence, and phone number.
4.2 You also acknowledge that for identity verification purposes, we MAY request additional information or require you to perform certain actions at our discretion, including involving third parties to confirm your identity.

All information you provide for registration or use of our Services, including through interactive features, is governed by our Privacy Policy, and you consent to our handling of your information in accordance with this policy.
Access and Use of Services
To use our services, you must meet the following criteria:
5.1 Your history of using our or similar platforms must not include suspensions or exclusions.
5.2 You must not be identified as an individual prohibited from conducting financial transactions under applicable laws.
5.3 You must not be listed as a person subject to sanctions, travel restrictions, or business activity limitations.
5.4 You must be fully competent and legally able to enter into contracts according to the laws of your country.
5.5 Please note that access to our services requires a reliable internet connection and appropriate equipment, such as a computer, mobile phone, or tablet. Due to market volatility or high transaction volumes, temporary delays or access restrictions may occur, for which Cryptonica is not responsible.
Changes to Services and Suspension of Use
6.1 Changes and Availability of Services: Cryptonica reserves the right to revoke, modify, or suspend any Services at any time and without prior notice at its discretion. We are not responsible for temporary or permanent unavailability of services. Access to some or all parts of our services may be temporarily restricted for all users or only registered users at our discretion.
6.2 Suspension of Operations: We may suspend or cancel cryptocurrency purchase or sale transactions if we find that the transaction may be associated with illegal activity, including but not limited to money laundering, terrorism financing, fraud, or other prohibited uses. Such actions may also be taken in compliance with court orders or government decisions. Cryptonica is not responsible for any losses that may arise from such actions.
Additional Terms
7.1 Cryptonica's inability to enforce any provision or condition stated in these Terms shall not be considered a waiver of such provision or condition or any other provision or condition. Section headings in these Terms are for convenience only and do not govern the meaning or interpretation of any provision of our Terms.
7.2 If any provision of these Terms is found by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of the Terms continue in full force and effect.
7.3 These Terms and our Privacy Policy constitute the entire and exclusive agreement between you and Cryptonica regarding the Services and supersede all prior or contemporaneous agreements, communications, statements, and warranties, whether written or oral, regarding the Services. Additional terms and conditions may apply to you when using specific services, products, projects, or participating in promotional campaigns.
7.4 This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by Cryptonica without restriction, including without limitation to any of its affiliates or subsidiaries, or to any successor in interest to any business associated with the Services. Any attempt by you to transfer or assign rights in violation of this Agreement shall be null and void. Notwithstanding the foregoing, this Agreement shall be binding upon and shall inure to the benefit of the parties, their successors, and permitted assigns. In the event that Cryptonica is acquired or merged with a third party, we reserve the right in any of these circumstances to transfer or assign the information we have collected from you as part of such merger, acquisition, sale, or other change of control.
7.5 Cryptonica is an independent contractor for all purposes. Nothing in these Terms shall be construed or intended to create, nor shall it cause, a partnership, joint venture, or agency relationship between you and Cryptonica for profit, or as agents of each other.
7.6 By accessing the Services, you agree that these Terms and all matters relating to the Services shall be governed by the laws of the United Kingdom, United States, Netherlands, without regard to conflict of law principles.
7.7 Subject to the arbitration provisions and complaint procedures outlined above, and excluding claims for small claims allowed therein, any claims or disputes arising out of these Terms, related to them, or in connection with them, shall be exclusively filed in the federal courts or state courts located in the state of Delaware, and you hereby unconditionally consent to the personal jurisdiction of such courts and agree that it is a convenient forum and that you will not attempt to transfer such action or dispute to any other court or jurisdiction pursuant to the doctrine of forum non conveniens or otherwise.
7.8 You agree that regardless of any statute or law to the contrary, any claim or cause of action (including any arbitration) arising out of, related to, or in connection with the use of the Service, these Terms, or any other transactions or relationships must be filed within one (1) year after such claim or cause of action arose, or be forever barred to the fullest extent permitted by applicable law.
7.9 We may provide you with information about your account and the Services only electronically. You agree that such notices and other communications sent electronically satisfy any legal communication requirements, including requirements that such communications be in writing. We prefer to receive Cryptonica notices electronically through our support system at info@cryptonica.io. You may also write or call us at the address and phone number listed in the "Contact Cryptonica" section.
7.10 All provisions of these Terms which by their nature extend beyond the expiration or termination of these Terms, including but not limited to sections regarding suspension or termination of Cryptonica accounts, debts owed to Cryptonica, general use of the Services, disputes with Cryptonica, and general provisions, shall survive the termination or expiration of these Terms.
7.11 We shall not be liable for any delays, failures in performance, or interruptions of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to any delay or failure due to any natural disaster, civil disturbance, act of civil or military authorities, terrorism, riot or war, strike or other labor dispute, fire, telecommunications or Internet service provider disruptions or failures, equipment or software malfunctions, other catastrophe, or any other event which is beyond our reasonable control and does not affect the validity or enforceability of any other provisions.
Transaction Confirmations:
8.1 Each cryptocurrency transaction must be confirmed on its respective network or blockchain. You understand and agree that Cryptonica is not responsible for any confirmation delays and does not bear liability for any resulting damages.

Refunds:
9.1 Cryptocurrency transactions are irreversible. You understand and agree that Cryptonica is not liable to refund any amount or compensate for losses, whether due to fraud, password loss, or any other error. You agree to take sole responsibility for any losses incurred as a result of fraud or error.
Taxes:
10.1 You acknowledge that transactions may be subject to taxation by federal, state, or local authorities. You understand and agree that you are solely responsible for determining whether taxes may apply to your transactions and to what extent. You agree that Cryptonica is not responsible for calculating, withholding, or paying any taxes that may arise for you as a result of using our Services.
Risks of Using Crypto-assets:
11.1 Lack of Insurance: The crypto-assets you own, invest in, and exchange through Cryptonica are not insured. They do not fall under the protection of the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other governmental or private insurance company. This means that in the event of cyber theft or theft by any other means, losses will not be compensated.
11.2 Unregulated Activity: Cryptocurrency trading is unregulated in many countries and states. Where regulations exist, they may change without prior notice. You are solely responsible for complying with all applicable laws and regulations.
11.3 Volatility and Losses: Cryptocurrencies are subject to significant price fluctuations, which can result in rapid increases or decreases in value, and in some cases, complete loss of value. Cryptonica cannot control these changes and is not responsible for the loss of asset value.
11.4 Risk Awareness: By using our services, you acknowledge that you are aware of the risks associated with cryptocurrency transactions and that you are fully informed about the activities you intend to undertake. Cryptonica is not liable for any losses or damages you may incur from trading or storing cryptocurrencies, including loss of control over your wallet or changes in asset valuation.
General Usage and Access Rights
12.1 Ownership of Services and Cryptonica Content: Cryptonica retains full ownership rights over the Services and all associated content. This includes all design elements, text, graphics, logos, videos, audio materials, interfaces, software, as well as their arrangement and selection. All these elements are protected by intellectual property laws of the United Kingdom, the United States, and other countries, including but not limited to copyright laws, patents, and trademarks.
12.2 Limited License: We grant you a limited, revocable, non-exclusive, and non-transferable license to access and use the Services and Content solely for personal, informational, investment, transactional, and marketing purposes as permitted by Cryptonica. This means that any use of the Services or Content outside of explicitly permitted scenarios in the Terms is strictly prohibited.
12.3 Prohibition of Unauthorized Use: You agree not to copy, distribute, sell, resell, license, decompile, reverse engineer, disassemble, modify, publish, create derivative works, perform, display, or use the Content or Services for commercial or non-commercial purposes without our prior permission. This also includes prohibiting the use of the Services or Content as part of other websites or in any other products.
12.4 Cryptonica Trademarks: Cryptonica owns and actively uses various trademarks within its Services, including but not limited to the names "Cryptonica.io," "Cryptonica," and various logos, product names, and service names. Use of these trademarks without our prior consent is strictly prohibited.
12.5 Consequences of Breach of Terms: If you violate any of these terms, your access to the Services may be terminated immediately, and we reserve the right to use all available legal and equitable remedies to stop such violations.
Accuracy of Information and Liability
13.1 Main Position: Cryptonica strives to provide accurate and up-to-date information on our website. It is important to note that the data in the user's personal account in the Cryptonica mobile application is always accurate and up-to-date, ensuring the reliability of your transactions and account management. However, information presented on the Cryptonica website may contain inaccuracies or outdated information, and is subject to change without prior notice, which may encompass changes in company policies, products, and services.
13.2 Your Responsibility: When using information from our website, you must independently verify the timeliness and completeness of the data before making any decisions based on it. Cryptonica is not responsible for decisions made by you based on information obtained through the website, except for the data in your personal account, which is guaranteed to be accurate.
13.3 Third-Party Content: Our Services may include content provided by third parties, including articles, opinions, answers to questions, and other materials. Cryptonica does not take responsibility for the accuracy or reliability of any content provided by third parties. We do not guarantee that the services or their content will be available or function properly outside of these jurisdictions.
14.2 Access from Other Countries: Access to the services may be unlawful for individuals from certain countries or territories. If you access the services from outside the UK, USA, or the Netherlands, you do so at your own risk and are responsible for complying with local laws. You guarantee that your use of the services will comply with all applicable laws of the UK, USA, and the Netherlands.
14.3 Sanctions Compliance: You agree not to purchase, receive cryptocurrency, or use our Services in countries or territories where such actions are prohibited by sanctions or embargoes imposed by the United States, the United Kingdom, the European Union, or the United Nations. These countries include, but are not limited to, Russia, Cuba, Iran, North Korea, Sudan, Ukraine, Belarus, Venezuela, Syria, and any other countries subject to sanctions. You also must not use the Services if you are listed on any sanction lists such as the Special Designated Nationals List, Denied Persons List, Unverified List, Entity List, or other sanction lists managed by the U.S. Department of the Treasury, the United Kingdom, or the European Union.
14.4 Prohibition on Re-export: You are not permitted to resell or re-export acquired or received cryptocurrency or any other Services to countries under sanctions or to individuals listed on the aforementioned sanction lists. This includes shipments to countries such as Russia, Cuba, Iran, North Korea, Sudan, Syria, and any other countries subject to embargo or sanctions.
Maintaining the Accuracy of Your Contact Information
15.1 Obligation to Provide Current Information: You are required to provide Cryptonica with current and accurate contact details, including your email address, phone number, and any other information we may request to maintain your account. This is crucial to ensure effective communication and to provide you with all necessary notifications regarding your account and Cryptonica services.
15.2 Responsibility for Accuracy of Information: You are responsible for promptly updating your contact information in case of any changes. Maintaining accurate information ensures that you always receive important messages and notifications from us, which is especially important for prompt and secure transactions, as well as for timely updates on changes to service terms or privacy policies.
15.3 Process of Updating Information: To update your contact information, you can submit a request via email to support@cryptonica.io or directly through your account settings on the Cryptonica platform. This ensures that all your data reflects current information, allowing us to contact you when necessary.
15.4 Assumption of Message Delivery: If Cryptonica sends you a message using the last contact information provided by you, we consider the message to have been delivered to you, regardless of whether you actually received it or not. This underscores the importance of maintaining your information up to date to avoid missing critical notifications.

16.1 Cryptonica services may include links to third-party websites, which we refer to as "Linked Sites". These links are provided solely for your convenience. 17.1 Cryptonica Account: Your Cryptonica account serves as your primary interface for interacting with our services. To create a Cryptonica account, you must undergo a registration process so that we can verify you as a client and the legitimacy of your use of our services.
17.2 Information Available via Cryptonica Account: Through the platform, we provide you with access to various information about crypto assets, company products, and related markets. All information displayed via the platform is directly extracted from respective blockchains (e.g., Ethereum or Binance Smart Chain), company software, or protocols, and is not collected, compiled, altered, or processed manually by us in any way.
We guarantee that any information accessible through the platform, including charts and graphs, is accurate, reliable, up-to-date, complete, valid, and stable.
We guarantee the relevance of the technologies or information used on the platform.
We disclaim any responsibility for any losses or damages incurred if you use or view information related to Cryptonica not through the official platform website. We are not liable for representations of the company or its information on third-party informational resources.
To continue providing you with as comprehensive and accurate information as possible, please note that information may change or be updated from time to time without prior notice. This includes information regarding our policies and services. Therefore, it is advisable for you to verify all information before relying on it, and all decisions based on the information contained on the platform are solely your responsibility. You agree that each user can create only one account. If we find that you have multiple accounts, all your accounts will be blocked, and the funds in these accounts will be frozen.

You should never grant access to your Connected Wallet to third parties. You are fully responsible for all actions that occur with access to or interaction with the platform and protocols. We may, at our discretion, suspend or terminate your access to the platform for any reason.
To conduct a transaction, you must use a Cryptonica account. This process MAY require you to disclose the source of funds and provide the bank account from which the funds were received. It is important to understand that Cryptonica is not obligated to accept or process any transactions from individuals and may refuse them at its discretion.
For accessing your account, using its features, and/or interacting with it, we MAY charge fees based on your interactions with the platform.
17.3 Account Security
17.4. User Responsibility: By using our services, you confirm and accept full responsibility for all actions taken through your account, including access to your wallet and any services. You must ensure the confidentiality and secure control of access, including but not limited to protecting identifiers, passwords, PIN codes, API keys, and other authentication methods used to access the services.
17.5 Personal Account: Your account is strictly personal. You agree not to provide access to your account information or service security to any other individuals. Cryptonica reserves the right to consider all actions performed through your account as done by you unless notified of data compromise.
17.6 Session Termination: We strongly recommend logging out of your account after each session, especially when using public or shared computers, to prevent unauthorized access to your information and account.
17.7 Transfer and Sale Prohibited: You are not allowed to sell, transfer, or assign your account or any rights from your account. Accounts may only be created and used by the individual they are registered to and only by individuals who have reached the legal age of adulthood.
17.8 Right to Disable Access: Cryptonica reserves the right to disable any username, password, or other identifier, whether provided by you or by us, at any time and for any reason, including violation of terms of use.
17.9 Self-Responsibility for Use: You are solely responsible for any actions taken through your account, including all communications, transactions, and obligations arising from such use, even if such actions were unauthorized by you.
17.10 Security Notification: You agree to promptly notify Cryptonica of any unauthorized use of your username or password or any other breach of security. If you suspect your account has been compromised, please contact our support team at security@cryptonica.io to take necessary actions.
17.11 Cryptonica Crypto ATMs
17.12 Direct Transactions with Cryptonica: When you buy or sell cryptocurrency through our crypto ATMs, the transaction occurs directly between you and Cryptonica without intermediaries. This means that we take full responsibility for executing your transaction according to the specified terms and at the established price. You must ensure that the cryptocurrency wallet you use belongs to you, is under your control, and is correctly specified when making the transaction.
You are fully responsible for every action taken using Cryptonica's crypto ATMs, including, among other things, interactions with banking products.
You are responsible for paying all fees associated with your use of Cryptonica's crypto ATMs, including fees from blockchain networks or liquidity providers, incurred during your transaction through Cryptonica's crypto ATM or your wallet and bank.
Hereby, you acknowledge and agree that we are not obligated to improve or replace any part of Cryptonica's crypto ATMs or continue developing and releasing new versions of software for Cryptonica's crypto ATMs.
17.13 Pricing: The price of cryptocurrency available at Cryptonica's crypto ATMs is set by Cryptonica and may differ from the market price due to markups or fees we apply to cover operational expenses and risks. The price is dynamic and may change until the transaction is completed. By agreeing to the transaction at the displayed price, you accept it as final and commit to executing the transaction without the right to cancel or modify it after confirmation.
17.14 Transaction Terms: By agreeing to the conversion price, you commit to accepting this price as the final rate for conversion and immediately transferring funds to Cryptonica using your crypto wallet, bank account, ACH, Wire, or credit card. It is important to understand that agreeing to the transaction is binding, and after confirmation, you cannot cancel or modify it.
17.15 Transaction Fees: Cryptonica may charge a fee for each private transaction. By deciding to proceed with a private transfer, you acknowledge your acceptance of these fee payment terms. Understanding this commitment is crucial as it implies your agreement with the specified financial terms.
17.16 Cryptonica Exchange Liquid Pool
Cryptonica Exchange Liquid Pool is a comprehensive system designed to finance and provide liquidity for Cryptonica's crypto ATMs. This system is integrated into our ATM network and utilizes specialized software to manage and distribute the crypto assets you deposit. All processes, including transaction execution, clearing, settlement, and registration in the system, occur in a fully decentralized real-time mode.
Cryptonica provides a platform for managing crypto assets deposited into the Cryptonica Exchange Liquid Pool, but does not act as a custodian of these assets. We do not directly store your crypto assets; rather, we offer technical support for transactions to and from the Cryptonica Exchange Liquid Pool. It's also important to note that Cryptonica does not engage in swap operations with cryptocurrencies through this product. Our role is limited to providing tools and capabilities for your transactions, allowing users to independently manage their assets within the platform's established rules and conditions.
You confirm that all funds or crypto assets used by you within our Services are lawfully owned by you or you have the right to use them. It is important to understand that Cryptonica does not act as a qualified custodian under applicable law. You declare and guarantee that your use of Cryptonica Exchange Liquid Pool fully complies with all applicable legal requirements, including those governing fiduciary accounts and custodial asset management.
By participating, investing, or depositing your cryptocurrency assets into Cryptonica Exchange Liquid Pool, you confirm and agree that dividends will be paid within 24 hours of your withdrawal request initiation. In the event of a full withdrawal of funds or crypto assets, closing your plan in Cryptonica Exchange Liquid Pool, all transactions will be executed and completed by Cryptonica within 30 days from the date of your application submission.
By interacting with the liquidity pool, depositing cryptocurrency in exchange for a fixed daily dividend, your interaction is managed by our software, aligning your contributions with your chosen plan within the pool. You confirm that you authorize the use of your funds or crypto assets within Cryptonica Exchange Liquid Pool.
We do not control cryptocurrency protocols and networks, even if they are supported by our platform. Interaction with cryptocurrency protocols and networks occurs solely between you and the cryptocurrency protocols or networks; Cryptonica serves only as a provider of a graphical interface for interacting with Cryptonica Exchange Liquid Pool.
In case of disputes or discrepancies in transactions, users can contact Cryptonica support at support@cryptonica.io. We aim to ensure prompt and fair resolution of all issues in accordance with applicable legislative and procedural frameworks.
You acknowledge that we are not liable for any claims or losses resulting from your actions using Cryptonica Exchange Liquid Pool. You should also be aware that third parties may create pools with potentially fraudulent settings, and the functionality of crypto assets and smart contracts is experimental. We do not guarantee compliance of these systems with the laws of any jurisdiction.
If a client initiates a request for a full refund, we commit to processing the refund within 30 days from the date of receiving the request. This provision ensures that the client can always retrieve their funds upon initial demand, providing an additional level of security and confidence in using our platform.
Prohibited Activities and Uses
18.1 By using our Services, you agree and represent that you will not engage in any Prohibited Activity or Prohibited Use, as defined herein. We reserve the right at any time to monitor, review, retain, or disclose any information necessary to satisfy any applicable rule, law, regulation, legal process, or governmental request. We also reserve the right to immediately and without prior notice cancel or suspend the operation of your Cryptonica account or access to Cryptonica services if, at our sole discretion, we determine that your account is associated with Prohibited Use or Prohibited Business activities.
18.2 By opening a Cryptonica account, you understand and agree that the following non-exhaustive list of enterprises, business practices, and sale of items/services are prohibited from using the Services, and you will not use our Services to facilitate or assist in any of the following or similar activities:
Engaging as an unlicensed operator of money transfers, financial services, payment service provider, electronic money, or any other business in financial services requiring a license, including but not limited to virtual currency exchange, sale of money transfers or traveler's checks, and custodial services.
Counterfeit products or any product or service that violates copyrights, trademarks, patents, or trade secrets of any third party.
Stolen goods.
Drugs, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances simulating illegal drugs.
Gambling activities.
Sports forecasting or setting odds.
Prostitution or illegal escort services.
Self-harm or violence towards others, as well as actions or items that promote, facilitate, encourage, or instruct others in the same.
Financing of any items included in this list of prohibited activities.
Extortion, blackmail, or attempts to obtain unearned payments.
Unlicensed sale of firearms and certain types of weaponry.
Employment of fraudulent marketing practices.
Any business that violates any law, ordinance, regulation, or statute.
You are also prohibited from using your Cryptonica account to engage in any of the following categories of activities or any related or similar activities:
Violate or assist any party in violating any law, statute, ordinance, or regulation, including, but not limited to, any rules of any self-regulatory or similar organization of which you are a member or required to be (for example, laws, rules, or regulations governing financial services, controlled substances, or consumer protection);
Engage in a transaction involving proceeds from any unlawful activity;
Commit fraud or attempt to deceive Cryptonica or other Cryptonica users;
Infringe on copyrights, patents, trademarks, or intellectual property rights of Cryptonica or any third party;
Provide false, inaccurate, or misleading information;
Engage in any actions that create an undue or disproportionately large burden on our infrastructure or interfere with, intercept, or expropriate any system, data, or information;
Impede access to or use of any Cryptonica Services by any other individual or entity;
Defame, insult, harass, stalk, threaten, or otherwise violate or infringe upon the lawful rights (such as, but not limited to, rights to privacy, publicity, and intellectual property) of other individuals;
Publish, distribute, or disseminate any unlawful materials or information.
Transmit or upload onto the Cryptonica website any materials containing viruses, trojan horses, worms, or any other malicious or harmful programs;
Collect or otherwise gather information from the Cryptonica website about other individuals, including but not limited to email addresses, without proper consent;
Act as a payment intermediary or aggregator, or otherwise resell any Services unless expressly permitted by Cryptonica in writing;
Transfer any rights granted to you under these Terms.
Use another party's Cryptonica account information to access or use the Services, unless expressly authorized by that user to access their Cryptonica account and information;
Otherwise attempt to gain unauthorized access to the Services, other Cryptonica accounts, computer systems, or networks connected to the Cryptonica site, through password mining or any other means;
Engage in transactions involving items that infringe or violate any copyrights, patents, trademarks, right to publicity or privacy, or any other property rights under the law.
19. Termination of Services
19.1 Cryptonica reserves the right, at its discretion, to suspend, limit, or completely terminate your access to the Services or to deactivate or cancel your Cryptonica account in the following cases:
If such actions are required by a valid court order, other court decree, or governmental order;
If Cryptonica has reason to believe that you are using your account or wallet for Prohibited Activities or Prohibited Uses;
If your account or wallet becomes the subject of a legal, investigative, or governmental proceeding, or if there is an increased risk of non-compliance with legal or regulatory requirements;
If supporting your use of the Services becomes impractical for Cryptonica;
If Cryptonica has reason to believe that you are violating compliance and regulatory requirements, including but not limited to structuring transactions to avoid reporting requirements, creating multiple accounts or wallets, or abusing promotional campaigns offered by Cryptonica.
If you decide to close your account or terminate access to the Services, no additional fees will be charged, except in cases where you have used paid Services. You understand and agree that you remain responsible for any obligations related to the use of the Services until Cryptonica verifies that all your obligations have been fulfilled.
19.2 Service Providers
Cryptonica may engage third parties from time to time to assist in providing the Services. These third parties, referred to as "Service Providers," help in various aspects of our Services, including but not limited to supporting banking operations, providing technological or engineering solutions, and marketing services. Service Providers operate in accordance with our Privacy Policy, ensuring proper protection and management of your data in accordance with established standards and rules.
20. DISCLAIMER AND LIMITATION OF LIABILITY
THERE MAY BE APPLICABLE LEGISLATION THAT DOES NOT ALLOW LIMITATIONS OR EXCLUSIONS OF CERTAIN WARRANTIES OR LIABILITY FOR CERTAIN DAMAGES. UNDER SUCH LEGISLATION, SOME OR ALL OF THE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MENTIONED BELOW MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. IN PARTICULAR, THE LAW MAY PROHIBIT LIMITATION OR EXCLUSION OF LIABILITY FOR BANKRUPTCY, PERSONAL INJURY, OR DEATH CAUSED BY NEGLIGENCE OR FRAUD. IN SUCH CASES, OUR COMPANY'S LIABILITY WILL NOT BE LIMITED OR EXCLUDED TO THE EXTENT PROHIBITED BY SUCH LAW. FURTHERMORE, THIS SECTION IS ENFORCED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
UNDER NO CIRCUMSTANCES SHALL CRYPTONICA, ITS AFFILIATES, EMPLOYEES, PARTNERS, OR SERVICE PROVIDERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, USE, DATA, OR INTANGIBLE ASSETS, AND BUSINESS INTERRUPTION OR LOSS OF CONFIDENTIAL INFORMATION ENTERED INTO OR INTERCEPTED BY THIRD PARTIES. WE ALSO DISCLAIM LIABILITY FOR DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SERVICES, INFORMATION, OR MATERIALS ON OUR SITE OR ANY RELATED RESOURCES. IN THE EVENT OF ISSUES WITH THE SERVICES OR CONTENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE THEIR USE. IN CASE OF DISSATISFACTION WITH A PRODUCT OR SERVICE ACCESSED THROUGH THE PLATFORM, YOUR SOLE REMEDY IS TO RETURN THE PRODUCT IN ACCORDANCE WITH THE RETURN POLICY. OUR MAXIMUM LIABILITY, EXPRESSED IN DOLLAR EQUIVALENT, SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE USE OF THE SERVICES.
ADDITIONALLY, IN THE EVENT OF DISPUTES WITH OTHER USERS OF CRYPTONICA'S SERVICES, YOU AGREE TO RELEASE CRYPTONICA, ITS AFFILIATES, AND SERVICE PROVIDERS, AS WELL AS THEIR EMPLOYEES, DIRECTORS, AND REPRESENTATIVES FROM ANY CLAIMS AND DAMAGES ARISING FROM SUCH DISPUTES. THIS RELEASE INCLUDES WAIVING ANY CLAIMS THAT YOU MAY KNOW OR SUSPECT. YOUR USE OF CRYPTONICA'S SERVICES IS AT YOUR OWN RISK. THE SERVICES, INFORMATION, GOODS, AND MATERIALS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND. CRYPTONICA EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CRYPTONICA AND ITS PARTNERS DISCLAIM LIABILITY FOR THE CRYPTOCURRENCY MARKET DYNAMICS AND DO NOT GUARANTEE THEIR ACTUAL OR ESTIMATED VALUE. WHILE WE MAY PROVIDE HISTORICAL AND CURRENT DATA ON CRYPTOCURRENCY PRICES, THESE DATA SHOULD NOT BE CONSIDERED AS GUARANTEES OF ACCURACY OR COMPLETENESS. YOU BEAR ALL RISKS ASSOCIATED WITH THEIR USE. ANY LOSSES OR DAMAGES ARISING FROM CRYPTOCURRENCY TRADING OR STORAGE ARE NOT COVERED UNDER OUR LIABILITY, EVEN IF CRYPTONICA'S SERVICES WERE DELAYED, SUSPENDED, OR INTERRUPTED. WE ALSO DO NOT GUARANTEE THE QUALITY, SUITABILITY, OR RELIABILITY OF THE SERVICES OR THEIR COMPATIBILITY WITH ANY SOFTWARE OR HARDWARE. YOU UNDERSTAND AND AGREE THAT YOU ARE RESPONSIBLE FOR ACQUIRING AND MAINTAINING THE NECESSARY EQUIPMENT AND SERVICES TO ACCESS OUR SERVICES. MATERIALS PROVIDED THROUGH OUR SERVICES MAY BECOME OUTDATED, AND WE ARE NOT OBLIGATED TO UPDATE THEM. THERE ARE NO GUARANTEES THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTIONS OR BE FREE FROM VIRUSES. ALL RESPONSIBILITY FOR THE USE OF THE SERVICES RESTS WITH YOU.
21. Compensation for Damages
21.1 Except where prohibited by applicable law, you agree to indemnify, defend, and hold Cryptonica, its officers, directors, employees, and agents harmless from any claims, losses, liabilities, damages, costs, or expenses, including attorneys' fees and costs, arising out of or in connection with: (a) your use of the Services or activities related to them, including the use of any goods, products, or services purchased through the Services; (b) your breach of these Terms, including any misrepresentations made by you in connection with your use of the Services; (c) your violation of any law or third-party rights; and (d) actions or inactions of any other user or third party. If you fail to promptly reimburse for damages and defend against a covered claim, Cryptonica reserves the right to defend itself and you must promptly reimburse Cryptonica for all associated expenses and costs. Cryptonica reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
22. Complaint Procedure of Cryptonica
22.1 Unless prohibited by law, in the event of issues or disputes related to your use of or access to the Services, you agree to follow the complaint procedure outlined below before resorting to arbitration or other legal proceedings against Cryptonica under these Terms. Failure to follow this procedure may indicate your unwillingness to reasonably resolve the issue or dispute.
Complaints: To lodge an official complaint, please send an email to support@cryptonica.io or write to us at Cryptonica ATM Solutions Limited Inc, 600 University St, Seattle, WA, 98101, United States, providing details of the reason for your complaint and any supporting documentation. Please specify how you would like your complaint to be resolved. Incomplete complaints will not be considered. Your complete complaint will be promptly acknowledged and reviewed. Upon completion of the review, but no later than 30 business days after receipt of your complaint, you will receive an email ("Resolution Notice") where we will: (i) propose to resolve your complaint as requested; (ii) reject your complaint with reasons stated; or (iii) propose an alternative resolution method. You must accept or reject the proposal as per the instructions in the Resolution Notice. Failure to respond will be considered withdrawal of your complaint.
Appeals: If you reject the proposal or decision made by us in response to your complaint, state the reasons for your rejection and include any additional information you believe is relevant to your complaint. Any such rejection will be considered an appeal against the proposal or decision outlined in the Resolution Notice. Our Customer Appeals Committee ("Appeals Committee") will review your complaint and any additional information provided. We will confirm receipt of your appeal within 10 business days. Within four weeks from receiving your rejection, the Appeals Committee will review your complaint and send you an email ("Final Notice"), where the Appeals Committee will: (i) confirm the Resolution Notice; (ii) reject the Resolution Notice; or (iii) make a new proposal for resolving the complaint. Upon receiving the Final Notice, you will have 20 business days to accept or reject the proposal or decision, following the instructions provided in the Final Notice. Failure to respond to the Final Notice will be considered withdrawal of your complaint.
Proposals: Any proposal made in response to a complaint will become binding on Cryptonica only if you accept the proposal within the specified period following the instructions provided by Cryptonica. You understand and agree that any proposal shall not constitute an admission by Cryptonica of any wrongdoing or liability concerning the subject matter of the complaint. Your acceptance of any proposal will signify that the complaint is resolved, and you agree not to initiate any lawsuit in any competent court or pursue arbitration or other dispute resolution proceedings against Cryptonica regarding the subject matter of the complaint.
23. Mandatory arbitration of all disputes: No class relief.
This section is considered a “written agreement to arbitrate” pursuant to the Federal Arbitration Act. You and we agree that we intend for this section to satisfy the “writing” requirement of the Federal Arbitration Act.
We believe that arbitration is a faster, more convenient, and less expensive way to resolve any disputes or disagreements that you may have with us. Thus, in accordance with these Terms, if you have any disputes or disagreements with us regarding (i) your use of or interaction with the Services, (ii) any subscriptions or other purchases, transactions, or relationships related to your use of the Services, or (iii) any data or information you provide to us or that we collect in connection with such use, interaction, subscriptions, purchases, transactions, or relationships (collectively, “Transactions or Relationships”), you will not have the right to pursue or litigate claims in court or have a jury decide the claim, and you will not have the right to bring or participate in any class action or similar proceeding in court or in arbitration. By using the Services or interacting with them, and engaging in any other Transactions or Relationships with us, you agree to mandatory arbitration as set forth below.
We will make all reasonable efforts to resolve any complaints, disputes, or disagreements you may have with us informally. If these efforts are unsuccessful, by using the Services, you agree that any complaints, disputes, or disagreements you may have against us, and any claims we may assert against you, arising out of, relating to, or connected in any way with the Services, the Terms, or any Transactions or Relationships, shall be resolved exclusively through final, confidential, and binding arbitration (“Arbitration”) before a single arbitrator administered by JAMS or its successor (“JAMS”) and conducted under the JAMS Streamlined Arbitration Rules and Procedures in effect at the time the arbitration is initiated or, if the amount in dispute exceeds $100,000, under the JAMS Comprehensive Arbitration Rules and Procedures then in effect (the “Applicable Rules,” respectively). The Applicable Rules can be found at www.jamsadr.com. If JAMS no longer exists, the arbitration will instead be administered by the American Arbitration Association or its successor (“AAA”) and conducted under the AAA Commercial Arbitration Rules then in effect (which will be the “Applicable Rules” in such circumstances). If, at the time of the arbitration initiation, JAMS (or, if applicable, AAA) has in effect minimum standards of procedural fairness for consumer arbitrations that apply to the matter in dispute, we agree to provide you with the benefits of such minimum standards to the extent they are more favorable than the comparable arbitration provisions set forth in this section, provided, however, that under no circumstances shall such minimum standards contradict or limit the applicability of subsections (e) or (i) below. Additionally, this section shall not preclude either party from seeking temporary relief (i.e., a temporary restraining order or preliminary injunction) in a court of appropriate jurisdiction. You also agree that arbitration proceedings may be conducted in the European Union and the United Kingdom if applicable to your case.
